Alior Bank is PZU's other banking holding — smaller than Pekao, younger, and historically more focused on higher-margin, higher-risk consumer and small-business lending. PZU built its stake in the mid-2010s, again amid state encouragement, and Alior has been the more troubled of the two investments, with periods of elevated loan losses and strategic drift that made it a less obviously successful acquisition than Pekao. In the merger planning, the parties have signaled that Alior's future will be addressed separately — an acknowledgment that it does not fit as neatly into the combined group.
Alior illustrates both the ambition and the hazard of PZU's conglomerate strategy. It extended the group's banking reach and its higher-margin lending exposure, but it also imported the sharpest version of banking risk — consumer credit that sours fastest in a downturn — and absorbed management attention for uncertain returns. As a piece of the moat it is marginal; as a case study in the perils of state-directed empire-building, it is instructive. What PZU ultimately does with Alior — keep it, sell it, or fold it in — will say a good deal about whether the group is optimizing for shareholder returns or for something else — Alior, like Pekao, was a state-directed purchase in the first place1.
